Welcome to LusyChat ("LusyChat", "we", "our", or "us"). These Terms of Use (the "Terms") govern your access to and use of the website lusychat.ai and any related applications, features, content, and services we make available (collectively, the "Service").

By accessing or using the Service in any way — including by browsing, registering an account, generating content, submitting prompts, uploading materials, or purchasing a subscription — you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

IMPORTANT — ADULTS ONLY. The Service is an adult-oriented platform that uses artificial intelligence to generate sexually explicit, romantic, or otherwise mature content. The Service is intended exclusively for users who are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater). By using the Service you represent and warrant that you meet this requirement. If you are a minor, you must leave immediately.

1. Eligibility and Age & Identify Verification

To access or use the Service you must (a) be at least 18 years of age and the age of majority in your place of residence; (b) have full legal capacity to enter into a binding agreement; (c) not be located in, or a national or resident of, any jurisdiction in which the Service is prohibited; and (d) not have been previously banned from the Service.

When you create an account you affirm, under penalty of perjury, that you are 18 or older and that all registration information you provide is true, accurate, and complete.

KYC and identity verification. We require, or may at our discretion require at any time, that you complete identity- and age-verification ("KYC") through our third-party verification partner, Sumsub (Sum and Substance Ltd.), or another reputable verification vendor we designate. KYC is mandatory before you may (i) upload any image, voice sample, or other reference material depicting a person, (ii) access certain adult-oriented features, (iii) purchase subscriptions or credits above a threshold we may set from time to time, or (iv) where required by applicable law in your jurisdiction.

The KYC process typically involves (a) capture of a valid government-issued photo identification document (such as a passport, national ID card, or driving licence), (b) a live selfie with liveness and anti-spoof detection, (c) automated face-match between the ID photograph and the live selfie, and (d) extraction of your date of birth to confirm you are at least 18 years of age. You consent to the collection, processing, and sharing of these data with Sumsub (or our designated alternate vendor) for the sole purpose of completing the verification. Our handling of KYC data is described in our Privacy Policy; the vendor processes data as an independent controller under its own privacy notice (https://sumsub.com/privacy-notice/).

We may refuse to onboard, suspend, or terminate any user who (i) fails or refuses KYC, (ii) submits forged, altered, or otherwise invalid identification, (iii) is detected by our vendor or our systems as a likely minor, or (iv) is otherwise ineligible. Knowingly providing false age or identity information is a material breach of these Terms, may give rise to civil and criminal liability, and may be reported to the Malta Police Force, Sumsub's fraud-intelligence network, and other competent authorities.

2. Description of the Service

LusyChat is an AI-powered companion and adult content platform. Through the Service, registered users may, among other things:

Interact with AI-generated virtual characters via text, image, and (where available) voice messaging;

Customize the appearance, personality, voice, and backstory of fictional AI companions;

Generate images, scenes, and other media using generative-AI models in response to user prompts;

Upload personal avatar artwork or supporting reference materials that comply with our Content Policy;

Purchase subscriptions, credits, and other digital goods that unlock advanced features or generation quota.

All AI-generated characters are entirely fictional. They are not real people, and any resemblance to any actual person, living or dead, is unintended and coincidental. The Service does not feature, broadcast, or distribute live performances of real human performers.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify us at contact@business.lusychat.ai of any unauthorized use. We are not liable for any loss or damage resulting from your failure to safeguard your credentials.

You may not (a) share your account, (b) create more than one account except with our written permission, (c) use another user's account, (d) create an account using automated means, or (e) sell, transfer, or assign your account.

4. License to Use the Service

Subject to your continued compliance with these Terms, LusyChat grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial enjoyment. All right, title, and interest in and to the Service, including all software, models, character assets, branding, and underlying technology, remains the exclusive property of LusyChat and its licensors.

5. User Content and Uploads

"User Content" means any text prompt, image, audio, file, character description, message, or other material you submit, upload, or generate through the Service. You retain ownership of original material you upload; however, by submitting User Content you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to host, store, reproduce, adapt, process, transmit, and display that User Content for the limited purpose of operating, securing, improving, and moderating the Service.

You represent, warrant and covenant that, for every piece of User Content you submit:

Ownership / authorization. You either own the User Content outright or have all rights, licenses, consents, and permissions necessary to upload it and to grant the license above.

No third-party likenesses. The User Content does not depict, reference, or attempt to recreate the face, body, voice, name, or other identifying characteristics of any real person other than yourself. You may not upload photographs, voice samples, or written descriptions of any other identifiable person — including but not limited to celebrities, public figures, friends, family members, ex-partners, or strangers.

Self-uploads. If the User Content depicts you, you confirm that (i) you are the person depicted, (ii) you were at least 18 years old at the time the material was created, and (iii) you have not been coerced, deceived, or trafficked into uploading it. We may, before processing self-uploads, require government-issued ID and a live selfie to verify your identity and age.

No prohibited content. The User Content does not violate our Content Policy and does not contain anything illegal, infringing, defamatory, or otherwise prohibited.

We reserve the right, but are not obligated, to review, refuse, modify, restrict, or remove any User Content at any time, with or without notice. Our refusal or removal of User Content does not create any liability on our part.

6. AI-Generated Output

Output produced by our generative-AI models in response to your prompts ("Generated Output") is delivered to you for personal, non-commercial enjoyment, subject to these Terms and our Content Policy. To the extent that any rights in Generated Output vest in us, we assign you a non-exclusive, perpetual license to use the Generated Output for lawful personal purposes. We make no warranty that Generated Output is unique, copyrightable, accurate, or fit for any particular purpose.

Generated Output depicts fictional characters. You agree not to (a) represent Generated Output as depicting a real person, (b) combine Generated Output with the likeness of any real person, (c) use Generated Output to harass, defame, blackmail, or impersonate anyone, or (d) redistribute Generated Output in any commercial setting without our prior written permission.

7. Prohibited Conduct

You agree not to use the Service to create, request, upload, store, distribute, or otherwise process any content that:

Depicts, sexualizes, or could be reasonably interpreted to depict any minor or person under 18 — whether real, fictional, AI-generated, drawn, or otherwise represented;

Depicts, references, or attempts to recreate any real, identifiable person (including celebrities, public figures, or private individuals) without that person's verifiable, written, informed consent — this includes deepfakes, face swaps, voice clones, and "look-alike" or "inspired-by" requests;

Depicts non-consensual sexual activity, including rape, sexual assault, coercion, or so-called "revenge porn";

Depicts bestiality, zoophilia, necrophilia, or incest;

Depicts or glorifies extreme violence, gore, mutilation, torture, snuff, or weapons designed to cause mass casualties;

Promotes terrorism, violent extremism, human trafficking, or organized criminal activity;

Contains hate speech, slurs, or content that incites violence or discrimination against any protected group;

Promotes self-harm, suicide, eating disorders, or the illegal sale or use of controlled substances;

Infringes any copyright, trademark, patent, trade secret, right of publicity, right of privacy, or other intellectual or moral right;

Is unlawful, fraudulent, deceptive, or designed to phish, scam, or harm other users;

Interferes with the security or integrity of the Service, including by attempting to reverse-engineer, scrape at scale, evade rate limits, evade content filters, or extract model weights, prompts, or training data;

Uses the Service to develop or train any competing artificial intelligence model or product.

Violations of this Section 7 may result in immediate termination, forfeiture of unused credits, account bans across all of our properties, and — for unlawful content — referral to NCMEC, INHOPE, the Internet Watch Foundation, the Malta Police Force, and any other competent authority.

8. Subscriptions, Billing, and Refunds

Certain features of the Service are available only to paying subscribers or require the purchase of credits. Payment is processed by our third-party payment provider, who acts as the merchant of record. By submitting payment information you authorize the provider and us to charge the applicable amount, including any taxes and recurring renewal fees.

Subscriptions auto-renew at the end of each billing period at the then-current rate until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current paid period. Except where required by law, all sales are final and fees are non-refundable. Bona-fide billing errors should be reported to contact@business.lusychat.ai within thirty (30) days; we will investigate in good faith and may issue a refund or credit at our discretion.

Chargebacks made without first attempting to resolve the dispute with us may result in account termination and forfeiture of any remaining balance.

9. Intellectual Property

All software, models, designs, text, graphics, logos, character templates, and other materials provided as part of the Service are owned by LusyChat or its licensors and are protected by copyright, trademark, and other laws of Malta, the European Union, and other jurisdictions. Except for the limited license granted in Section 4, no rights are granted to you under these Terms.

10. DMCA and Copyright Infringement

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, please follow the procedure set out in our DMCA Policy. We respond to properly submitted notices and maintain a policy of terminating, in appropriate circumstances, accounts of repeat infringers.

11. Content Removal and Personal-Likeness Complaints

If you appear in content on the Service without your consent, or if you wish to have content depicting you removed, please follow the procedure described in our Content Removal Policy. We treat such requests as a priority and will act expeditiously upon verification.

12. Privacy

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that you have read and understood the Privacy Policy.

13. Third-Party Services and Links

The Service may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third-party site. Your dealings with third parties are solely between you and the third party.

14. Disclaimers

THE SERVICE AND ALL CONTENT — INCLUDING GENERATED OUTPUT — ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT GENERATED OUTPUT WILL MEET YOUR EXPECTATIONS. AI-GENERATED MATERIAL MAY BE INACCURATE, OFFENSIVE, OR UNEXPECTED; YOU USE IT AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LUSYCHAT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless LusyChat, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your User Content, or (d) your violation of any law or third-party right.

17. Suspension and Termination

We may, at our sole discretion and without notice, suspend or terminate your access to all or part of the Service, delete your account, and remove any User Content or Generated Output, where we reasonably believe that you have violated these Terms, posed a risk to other users, or where required by law or by a regulator, payment partner, or law-enforcement authority. Sections that by their nature should survive termination will survive.

18. Modifications to the Service and Terms

We may change, suspend, or discontinue any part of the Service at any time. We may also modify these Terms; if we make material changes we will provide reasonable advance notice (for example, by posting an updated date or sending an email). Your continued use of the Service after the new Terms take effect constitutes acceptance of the changes.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Malta, without regard to its conflict-of-laws rules. The Courts of Malta have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, save that nothing in this clause prevents a consumer resident in the European Union from bringing proceedings in the courts of their country of residence where mandatory consumer-protection law so permits.

20. EU Online Dispute Resolution

Consumers resident in the European Union may submit complaints to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We do not commit to and are not obliged to use an alternative dispute-resolution body to resolve disputes with consumers.

21. Miscellaneous

These Terms, together with the Privacy Policy, Content Policy, Content Removal Policy, DMCA Policy, and 2257 Statement, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them at any time. Notices to you may be posted on the Service or sent to the email associated with your account.
